PURCHASE ORDER TERMS

Welcome to Webcollage’s portal for registering for access to Webcollage’s Content Publisher for the benefit of Target (the “Target Content Publisher”). The Target Content Publisher is a Webcollage Service that provides Target vendors with the ability to submit, update, assemble, distribute and publish vendor’s Creative Materials (such as images, videos, audio and multimedia files) for products sold by Target directly onto the corresponding product detail page on Target website. By completing the Purchase Order and clicking “Invoice Me”, you are acknowledging that you have requested the Services on behalf of the identified legal entity on whose behalf you are acting (collectively “you” or “your” or “Client”). The Purchase Order is governed by the terms set forth below and incorporates the Terms of Use for Webcollage’s Content Publisher (the “Terms of Use”) posted [here]. All capitalized terms used in the Purchase Order but not otherwise defined have the meanings stated in the Terms of Use. The Purchase Order and the Terms of Use are collectively referred to as the “Agreement”. The effective date of the Purchase Order is the day you click “Invoice Me” on the Purchase Order (the “Effective Date”).

YOU ACKNOWLEDGE THAT BY COMPLETING THE PURCHASE ORDER YOU ARE ENTERING INTO AN AGREEMENT ON BEHALF OF THE CLIENT AND REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND SUCH ENTITY AND ITS AFFILIATES TO THE TERMS AND CONDITIONS IN THE AGREEMENT. FURTHER, YOU ACKNOWLEDGE THAT YOU AND THE CLIENT HAVE HAD THE OPPORTUNITY TO REVIEW THESE PURCHASE ORDER TERMS AND THE TERMS OF USE PRIOR TO ACCEPTING THE AGREEMENT BY CLICKING THE “INVOICE ME” BUTTON BELOW.

Webcollage Services. Use of Target Content Publisher is for the number of items (i.e. SKUs) identified by you in the Purchase Order, each representing an individual Client item for syndication to target.com. Each item is a single product including all its color variants and package sizing, as published at a single target.com product page URL (an “Item”). Services are transferrable from one Item to another Item no more than once every three months. For example, if an Item is discontinued, the Services can be transferred to another Item but may not be transferred a second time until three (3) months has passed.

Services Term. The Services commence on the Effective Date and will end twenty-four (24) months from the Effective Date, unless earlier terminated in accordance with the Agreement (the “Initial Term”). The Services will automatically renew for successive additional terms of equal length (each a “Renewal Term”), unless either Party gives at least one hundred twenty (120) days written notice to the other Party prior to the expiration of the Initial Term or a Renewal Term. Webcollage’s fees for each year of each Renewal Term will be increased by five percent (5%) per year on a cumulative, year-over-year basis, provided Webcollage may specify a different annual increase for each year of the Renewal Term by written notice to Client not less than one hundred fifty (150) days prior to the end of the then-current term. Webcollage’s election not to raise fees, or to raise fees less than five percent (5%), is not a waiver of Webcollage’s right to do so for future Renewal Term years. Webcollage will notify Client of any such increase in the invoice for the first year of the Renewal Term.

Annual Fees for the Services. Annual fees for the Services for the Initial Term will be $350 per Item and will be invoiced upon acceptance by you on behalf of the Client and thereafter, on each anniversary of the Effective Date. Except as provided above, Client will pay to Webcollage all fees due within thirty (30) days from Webcollage’s invoice date. No provisions and conditions on invoices, purchase orders, order acknowledgements or the like will have any force or effect between the parties. Applicable sales, use and similar taxes, if any, will be Client’s responsibility and Webcollage shall use reasonable efforts to include them in the applicable invoices. All payments are to be made in United States dollars (USD). It is Client’s responsibility to notify Webcollage of any tax-exempt status.

Early Termination of Services. Client may terminate the Services at any time on sixty (60) days prior notice to Webcollage, provided that Client will remain obligated to pay the full contract price (including any fees for the current term not yet invoiced) and no refund, credit or offset for fees paid for unused Services will be made by Webcollage. Client agrees it is paying for access and use of the Services. There will be no adjustment in fees if an Item is discontinued and Creative Materials removed from the Target site. Any request to remove Creative Material for an Item or discontinue the Services must be sent to targethelp@webcollage.com.

Target Content Publisher. In addition to any terms set forth in the Agreement, any Creative Materials submitted by Client through the Target Content Publisher will not violate the Target Terms of Use posted at https://www.target.com/c/terms-conditions/-/N-4sr7l. Client acknowledges that Target reserves the right (but not the obligation) to monitor and edit or remove, in its sole discretion, any Creative Materials from the Target Sites for any reason whatsoever.
